Terms of Service

These Terms of Service ("Terms") govern your use of the website, software products, and professional services offered by Sangamam Communications Private Limited ("Company", "we", "us", or "our"), registered in India. By accessing our website or engaging our services, you agree to be bound by these Terms.

1. Services

Sangamam Communications provides custom software development, web design, digital marketing, CRM/ERP solutions, and related technology services. Specific deliverables, timelines, and pricing for each project are defined in individual Statements of Work (SOW) or Service Agreements signed between the parties.

2. Intellectual Property

Unless otherwise agreed in writing:

• Upon full payment, the client receives ownership of the custom code developed exclusively for their project.
• Third-party libraries, frameworks, and open-source components remain under their respective licences.
• Our proprietary product software (CRM, ERP, POS, etc.) is licensed, not sold, unless a separate source-code transfer agreement is executed.
• All pre-existing tools, methodologies, and frameworks developed by Sangamam Communications remain our property.

3. Payment Terms

• Invoices are due within 7 days of issuance unless stated otherwise in the SOW.
• Milestone-based projects require payment of each milestone before proceeding to the next phase.
• A late payment charge of 1.5% per month may be levied on overdue amounts.
• All prices are exclusive of GST (18%) unless stated otherwise.

4. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the engagement. This obligation survives termination of the agreement for a period of 2 years.

5. Limitation of Liability

To the maximum extent permitted by applicable law, Sangamam Communications shall not be liable for any indirect, incidental, special, or consequential damages arising out of your use of our services. Our total liability shall not exceed the amount paid by you for the specific service giving rise to the claim in the preceding 3 months.

6. Warranties

We warrant that our services will be performed in a professional manner. We do not warrant that our software will be completely free of bugs, or that results from digital marketing campaigns will meet specific targets. All performance estimates are projections, not guarantees.

7. Termination

Either party may terminate a service agreement with 30 days' written notice. Payments for work completed to the date of termination remain due. Immediate termination may be effected by either party in the event of a material breach that is not remedied within 7 days of written notice.

8. Governing Law

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Palakkad, Kerala.

9. Changes to Terms

We reserve the right to update these Terms at any time. Continued use of our website or services after changes constitutes acceptance of the revised Terms.
